SAN JOSE, Calif., September 18, 2002 - Cisco Systems, Inc. today announced that the company has filed its annual report on Form 10-K with the Securities and Exchange Commission (SEC) and that its chief executive and chief financial officers personally certified the report in accordance with the recently enacted Sarbanes-Oxley Act.

The legislation passed by the Congress this year and signed by President Bush requires that chief executive and chief financial officers of publicly traded U.S. companies personally certify that the annual and quarterly reports they file with the SEC meet requirements for accuracy, completeness and reliability. The new certification process became effective in August 2002.

Signed by President and Chief Executive Officer John Chambers and Chief Financial Officer Larry Carter, the certifications were included in the 10-K Annual Report filed with the SEC for fiscal year 2002 and meet all the requirements ordered by the SEC under Section 302 and Section 906 of the Sarbanes-Oxley Act.

Cisco's Annual Report and certifications were filed six weeks in advance of the deadline. Because Cisco's fiscal year ended on July 27, 2002, Cisco's deadline for filing is October 25, 2002.

"As a company, we have long recognized our responsibility to provide transparent, timely, accurate and reliable information," said Chambers. "Today's certification underscores the personal commitment and sense of responsibility Larry Carter and I have always felt toward our shareholders, employees and customers."

Carter added, "The requirement that we personally certify the financial reports does not change the degree of seriousness we feel, but we believe it underscores the responsibility we take for their accuracy."
